Greater Moncton International Airport Authority (GMIAA)
Nominee, Board of Directors
The Greater Moncton International Airport Authority (GMIAA) obtains its mandate and authority through an arrangement with Transport Canada. GMIAA Inc. is a not-for-profit corporation headed by the board of directors mandated to administer the affairs of the GMIAA. The board of directors is composed of 14 experienced community leaders nominated by a number of government levels and organizations, one of which is nominated by the Minister of Transportation and Infrastructure for the Province of New Brunswick.
Current position to be filled:
The provincial government is currently seeking one nominee for the GMIAA’s Board of Directors. It is the Board’s responsibility to review the proposed nominations and formally appoint a provincial representative. Expressions of interest are invited to fill this opportunity but may also be used to fill future vacancies.
Nominees must be a Canadian citizen who is at least 18 years of age and not employed full time by a Federal, Municipal, or Provincial Government. Nominees must reside in South Eastern New Brunswick, specifically, outside of Dieppe, Moncton or Riverview as this seat is to provide representation to the outlying communities at the boardroom table. Additionally, nominees must meet the conflict of interest, code of conduct or other requirements set forth in the Board’s Bylaws.
The individual appointed to this position shall fulfill the legal requirements and obligations of a director, which includes a comprehensive understanding of the statutory and fiduciary roles; representing the interest of all stakeholders in the governance of the Corporation; ensuring that the best interests of the Corporation are paramount and participating in the review and approval of Corporation policies and strategy and in monitoring their implementation.
Essential and Asset Qualifications:
Interested applicants should have board experience and governance expertise would be an asset. The following would also be considered assets: technical, engineering, and construction expertise; business, marketing, and sales expertise; aviation expertise; and/or transportation, logistical, cargo, and distribution expertise.
The composition of the Board must take into account gender and linguistic representation, as well as the cultural diversity of the province.
Member remuneration is fixed by the GMIAA Board of Directors and is currently set at an annual remuneration of $3,500 and a per diem of $300 per meeting attended.
The GMIAA board has five scheduled meetings per year which includes the Annual General Meeting. Occasionally, special meetings are held to address issues that require immediate attention. There are five board committees: Audit, Human Resources, Governance, Environment and Risk, and Strategic Planning. The Audit Committee generally meets about four to six times per year and the other committees meet two to four times per year. Board members may be named to one or two committees.
